INCOME DISCLOSURE AND DISCLAIMER

MannaCBD is committed to compliance with all governmental rules, regulations, statutes, codes and laws regarding sales and related activities in the Direct Sales industry. MannaCBD has developed this platform in order to maintain defensible and truthful information with respect to income earned by Independent Affiliates. MannaCBD and its Independent Affiliates agree that they shall not make unsubstantiated claims regarding income, potential income, improved lifestyle or any other benefit or potential benefit that may be derived by being an Independent Affiliate of MannaCBD, and further that MannaCBD and its Independent Affiliates disclaim any such unsubstantiated representations.

While MannaCBD is currently in its initial launch phase and does not yet have a history of sales, income or other benefits that may be derived by being an Independent Affiliate, MannaCBD will disclose the following information to new Independent Affiliates prior to the Independent Affiliate being enrolled in MannaCBD.

  1. The total number of Independent Affiliates in MannaCBD
  2. The total number of Independent Affiliates that became “Inactive”, as that term is described in the Policies and Procedures, within the trailing 12 months on a calendar quarterly basis.
  3. The rate of attrition as a percentage of the total number of Independent Affiliates that became “Inactive”, as that term is described in the Policies and Procedures, within the trailing 12 months on a calendar quarterly basis.
  4. No representation shall be made as to expenses that may have been made by individual Independent Affiliates in the operation of their independent businesses, however MannaCBD may conduct surveys that are not empirical, audited nor scientific with regard to expenses incurred by a sampling of Independent Affiliates in order to provide information to potential Independent Affiliates that may be of assistance when deciding whether or not to enroll as an Independent Affiliate. There are many elements that can contribute to an Independent Affiliate’s expenses such as:
  5. Type of entity under and through which the Independent Affiliate’s business is owned operated.
  6. Aggressiveness or lack thereof, of an Independent Affiliate’s sales, marketing, promotions and other sales efforts which can include collateral printed materials, website and related expenses, email account, mailers, banners, trade shows and other efforts that may incur expense.
  7. Product samples.
  8. Travel, phone, printing, copies, lodging, downline promotions, promo code discounts and other expenses allowed under GAAP; (Generally Accepted Accounting Principles).
  9. Other tax and expense related elements that are not discussed here, but which may nonetheless exist and apply to a certain Independent Affiliate.
  10. The average monthly income of Independent Affiliates which shall have two components:
  11. Income from personal sales and
  12. Income from bonuses, overrides and commissions earned from group/downline sales.
  13. The average annual income of Independent Affiliates which shall have two components:
  14. Income from personal sales and
  15. Income from bonuses, overrides and commissions earned from group/downline sales.
  16. The total number of Independent Affiliates that earned no income of any kind or nature.
  17. Disclaimer that the amounts shown are not a guarantee or projection of a new Independent Affiliate’s potential earnings and profits.
  18. Any other information deemed relative, disclose and reasonably required in the interest of disclosure, transparency and full compliance with all governmental rules, regulations, codes and statutes.
